Private Label Sales Commission Plan
(hereinafter referred to as PRIVATELABELPLAN)
This document is protected by US copyright law and is intellectual property.
This Sales Commission PRIVATELABELPLAN Agreement permits your website to generate
commissions by providing visitors of your website the opportunity to
visit our website.
To join the PRIVATELABELPLAN, you must apply by either the form that follows or by
e-mail. We reserve the right to reject any and all sites that apply for
any reason or for no reason. We reserve the right to terminate the PRIVATELABELPLAN
for any and all sites for any reason or for no reason. You may terminate
participation in this PRIVATELABELPLAN at any time for any reason or for no reason.
We will not accept your site and we will terminate your site if it:
- either violates or advocates violation of US or Georgia Law
- has an active political or social agenda
- is or becomes not readily accessible via the internet
- contains links to a direct competitor or likely potential competitor
- is or becomes a competitor or likely potential competitor
To earn commissions you must be capable of referring customers to our
website. This capability must utilize a special and unique link
that we will provide you.
You will only receive commissions on purchases
made using this special and unique link. It is your responsibility to
code and test this special and unique link.
We will endeavor to use your logo and background image on our site
to mimic the layout of your site to foster our relationship. At
no time will you have any right or title to anything we develop on our site.
You agree to indemnify us and hold us harmless for the use of any
graphics that you provide us and that we have the right to use your
logo and graphics for testing purposes also. You agree to help us test
our mimic of your site and to test it from time to time. You agree that
we will only use reasonable care to protect your graphics and your
commission structure under this plan. You agree to notify us about
any change in graphic layout so that we will have adequate time to
update our site to mimic yours. We will not use frames to mimic your site.
You will not change the look of your site more than twice per annum.
Changes beyond that may cause us to terminate your participation in
this PRIVATELABELPLAN.
Due to the vagaries of the internet and the security issues raised by
those vagaries you understand that we can only agree to use our best
efforts to track your commissions. Our best efforts do not require us
to acquire additional software or change the way we do business.
You agree that this is sufficient.
You agree not to send visitors to our site inside of a frame or window
or to in any way restrict our site from complete internet and
navigational control of your visitors.
If visitors purchase items from our site using your special and unique
link, you will receive a commission of seven percent (7%) of the total amount
collected by us for each purchase transaction (less shipping). Your
commissions will be reduced by returns, price adjustments, bad debts, etc.
No commissions are due or payable on our auctions or for any visitor
that accidentally or purposely tampers with the special and unique link.
We use the special and unique link to track your commissions. If
visitors leave our site by a link or by other means no commissions are due
or payable unless they re-enter by means of the special and unique link.
When a visitor makes a purchase they become a customer of ours and
we safeguard all information about our customers. The only information
we will share is the date/time of purchase and the amounts ordered.
We will not disclose any other information.
We will send a statement to you by electronic means showing the number of
orders and a total of the net amount due you every month you generate
commissions. We will not share any information about our prospects or
customers with you. We will pay you commissions by check in US funds on
the 15th of the month for the
previous month if the amount due you is over ten dollars ($10.00).
If the amount is less than ten dollars we will hold it and continue
adding commissions and pay you commissions every month that the amount due
you reaches ten dollars.
As a result of returns, price adjustments, bad debts, etc.
your commission amount could become an amount due us. You will pay us as
per the same terms we pay you.
If we terminate your participation in the PRIVATELABELPLAN we
will notify you by US mail and electronic means and your commissions will
cease to be earned on the midnight following the date of notice.
We will pay you all amounts due you through that midnight within 10 business days.
If you terminate your participation in the PRIVATELABELPLAN
You agree to notify us by US mail and electronic means and your commissions
will cease to be earned on the midnight following the date of notice.
We will pay you all amounts due you through that midnight within 10 business days.
You agree not to use your special link in any unsolicited e-mail (spam) or
in any way that solicits anyone except visitors to your site.
If you use your special link in unsolicited e-mail you agree to forfeit
all unpaid commissions due you and to compensate us for the reasonable time
it takes us to try protect our good name. If someone else uses your special
link in unsolicited e-mail (spam) you agree to reasonably help us to locate and stop the offending party.
Sections of the PRIVATELABELPLAN that are stricken by a court of competent jurisdiction
shall be deemed severed and the rest of this PRIVATELABELPLAN will remain in full force.
This PRIVATELABELPLAN is constructed under the laws of the State of Georgia. The laws
of the State of Georgia govern this PRIVATELABELPLAN.
Choice of Venue for disputes concerning the PRIVATELABELPLAN is DeKalb County, Georgia.
You agree that prospect and
customer information as well as the agreements we have with others are not
relevant and not discoverable in any action.
This is the entire commission sales PRIVATELABELPLAN and you will be required to
print this Agreement, sign it and return a signed copy to us.
